Terms of Use: Legal Agreement for XPickup Platform Access

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and XPickup ("we," "us," "our," or "XPickup") regarding your use of the Platform. By registering an account, accessing, browsing, or otherwise using the Platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are accessing the Platform on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

XPickup provides an online platform designed to facilitate connections and interactions between consenting adults for dating and social purposes ("Services"). The Services include, but are not limited to:

• User profile creation and management
• Search, matching, and communication tools
• Content sharing and interaction features
• Mobile applications and web-based interfaces
• Any other features, content, or applications offered from time to time

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, without prior notice or liability.

As a condition of your use of the Platform, you agree to:

1. Accurate Information: Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
2. Account Security: Maintain the confidentiality of your account credentials and accept responsibility for all activities that occur under your account.
3. Lawful Use: Use the Platform only for lawful purposes and in accordance with these Terms and all applicable local, state, national, and international laws and regulations.
4. Respectful Conduct: Interact with other users respectfully and refrain from harassment, abuse, threats, or hate speech.
5. Content Responsibility: You are solely responsible for all content you post, upload, transmit, or otherwise make available through the Platform.

Prohibited Activities: You agree not to engage in any of the following prohibited activities:

• Impersonating any person or entity or misrepresenting your affiliation
• Uploading or transmitting viruses, malware, or any other malicious code
• Attempting to gain unauthorized access to the Platform, other accounts, or computer systems
• Engaging in any activity that interferes with or disrupts the Platform or its servers
• Using the Platform for any commercial purposes without our express written consent
• Collecting or harvesting any information about other users
• Violating any applicable laws or regulations

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by XPickup, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The "XPickup" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of XPickup or its affiliates or licensors. You must not use such marks without the prior written permission of XPickup.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any resale or commercial use of the Platform or its contents.

To the fullest extent permitted by applicable law, in no event shall XPickup, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if XPickup has been advised of the possibility of such damage.

In no event shall XPickup's total liability to you for all claims arising out of or relating to the use of the Platform exceed the greater of one hundred dollars ($100) or the amount you have paid to XPickup in the last twelve (12) months.

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. XPICKUP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XPickup makes no warranty that:

• The Platform will meet your requirements
• The Platform will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Platform will be accurate or reliable
• The quality of any products, services, information, or other material obtained by you through the Platform will meet your expectations

Any content downloaded or otherwise obtained through the use of the Platform is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from such download.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Platform will immediately cease. If you wish to delete your account data, please refer to our Privacy Policy for instructions.

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in the United Kingdom.

We operate the Platform from our facilities in the United Kingdom. We make no representations that the Platform is appropriate or available for use in other locations. Those who access or use the Platform from other jurisdictions do so at their own volition and are responsible for compliance with local law.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.

We encourage you to review these Terms periodically for any changes. The date of the last update is displayed at the bottom of this page.
